What Bond Purchasers Actually Look For — Preparing Your Project to Clear Diligence Fast

Speed up your TIF monetization diligence. See exactly what documentation bond purchasers need to move fast — and how to package it for a clean, quick close.

Diligence Speed Is a Function of Documentation, Not Complexity

One of the most common questions developers ask before their first TIF monetization is simple: how long is this going to take? The honest answer is that it depends far less on the complexity of the deal than on how complete the documentation package is on day one. A well-organized submission can move from initial intake to a preliminary pro forma in a matter of days. A disorganized one can take weeks longer — not because the underlying deal is harder, but because the process becomes a back-and-forth instead of a single clean review.

The Core Documentation Package

At a minimum, bond purchasers evaluating a developer-backed TIF monetization need:

1. The approved TIF documentation itself. This is public record in most jurisdictions — the ordinance or plan approved by the relevant municipal or county body (an Industrial Development Board, a TIF district authority, etc.), along with the original projected increment that was approved at formation.

2. Current, phase-specific projections. If the project has evolved since the original TIF filing — different phasing, a scaled-back building program, a use that hasn’t been finalized — an updated projection reflecting current reality matters more than the original approved number. Bond purchasers will build their own model, but a realistic starting point speeds that process considerably.

3. Phase-level build and spend detail. For projects with multiple phases, purchasers need to understand what’s actually being built and spent in the phase generating the increment being monetized — not just the project’s total entitlement. This is what allows a purchaser to project an appraised value and a realistic revenue number for that specific phase.

4. A clear capital stack summary. Not underwriting-level detail — just the basics: how much equity is in the deal, how much debt, what other instruments (C-PACE, mezzanine debt, etc.) are already in place, and where a TIF monetization would sit relative to those instruments.

5. Lien priority confirmation. If there’s existing subordinate debt like C-PACE already filed against the property, purchasers need to see how that priority stack is structured relative to the proposed TIF taxpayer agreement.

What Purchasers Are Actually Evaluating

Beyond the documents themselves, purchasers are really asking three questions:

  • Is the projected increment realistic? Not aspirational, not based on entitlements that may never be built — grounded in what’s actually under construction or leased.
  • Is the legal structure sound? Does the taxpayer agreement clearly establish recourse to the property, with clean tax-lien treatment in the event of a shortfall?
  • Is the capital stack coherent? Does the proposed TIF layer fit logically alongside existing debt and equity without creating priority conflicts?

Why a Clean Package Moves Fast

When all of the above arrives together, in one submission, a purchaser can typically build a preliminary pro forma and turn around initial numbers within three to five business days — fast enough to run in parallel with other financing conversations rather than holding up the broader capital stack. When the same information arrives in pieces, each missing document restarts part of that clock.

A Simple Way to Think About It

Treat your TIF documentation package the way you’d treat a lender submission: complete, current, and organized before you ever pick up the phone. The projects that clear diligence fastest aren’t necessarily the simplest ones — they’re the ones where the sponsor did the organizational work upfront instead of assembling it reactively during the process.

Where to Go From Here

Pulling together the five items above is worth doing regardless of timing — it puts you in a stronger position the moment you decide to move on a TIF monetization, with any purchaser you end up working with. If you’re preparing to bring a project to market, start there. And if you’d like a read on where your project currently stands against that checklist, we’re glad to take a look.
